Renting a shop lot or factory: deposits and upfront cash
Separate refundable deposits from rent, fit-out costs and taxes before paying or signing.
Start with a written payment schedule. Commercial and industrial tenants should not assume a universal statutory deposit package. A request such as two months' security plus advance rent is a proposed contract term; record each amount, purpose, recipient, due date and refund rule before accepting it.
Keep four items separate: security for contractual obligations, rent paid for a named rental period, utilities paid to the landlord or provider, and any fit-out or reinstatement security. A deposit is tied-up cash, not automatically an expense or permission to skip the last rent. Ask which sums remain refundable and what evidence supports deductions.
Worked example only: suppose monthly rent is RM5,000 and the agreed terms are two months' security, one month advance rent and one month utilities. Cash for these three items is RM10,000 + RM5,000 + RM5,000 = RM20,000. This is not a mandatory package and excludes legal work, stamping, any applicable SST, fit-out, utility connections and operating reserves. Do not count the same advance rent twice.
For a factory, budget beyond rent: the required electrical capacity, connection or upgrade deposits, machinery installation, loading access, fire arrangements, waste handling, insurance and reinstatement can affect the cash needed to start. Obtain site-specific written quotations; an existing three-phase supply does not prove enough capacity for your operation.
Clarify the fit-out period. Key collection, permission to fit out, the rent commencement date, any rent-free concession and the business opening date can differ. Write down when utilities and other charges begin, which approvals are conditions, and what happens if approval or an upgrade is delayed or refused.
Current stamping: HASiL's 30 June 2026 guide lists Item 49(a) rates per RM250 or part of average annual rent and other annual consideration: RM1 for a term up to one year, RM3 for more than one to three years, RM5 for more than three to five years, and RM7 above five years. The old RM2,400 deduction is not part of this current table. Have the actual instrument classified and assessed, especially premiums, uncertain terms or a lease above three years; a guide calculation is not an assessment.
Commercial rental SST needs a separate check. The applicable rental or leasing service rate became 6% from 1 January 2026, subject to registration, scope and exemptions. It is not an automatic 6% charge on every tenancy. RMCD distinguishes a genuinely refundable security deposit from money applied as rental payment. Ask for the landlord's tax position, applicable exemption documentation and an itemised invoice.
Protect the exit before entry: agree the notice and expiry dates, renewal terms, break clause, reinstatement standard, final inspection, permitted deductions and deposit return deadline. Keep a signed condition report, photographs, meter readings, receipts and inventories at both handovers. Do not promise an automatic full refund or allow an unexplained blanket deduction.
